Terms of Service

The agreement between you and Recall.

1. Agreement to Terms

By accessing or using Recall ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including team owners, administrators, and members. By creating an account or accepting an invitation to join a team, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Recall is a team memory platform that captures, summarizes, and organizes coding sessions from AI-assisted development tools. The Service includes:

  • Session capture — Integration with AI coding assistants (Claude Code, Cursor) via MCP (Model Context Protocol)
  • AI-powered summarization — Automatic generation of session summaries using third-party AI providers
  • Team collaboration — Shared access to session summaries, decisions, and learned mistakes
  • Search and retrieval — Finding relevant context from past sessions
  • Context injection — Automatic loading of team knowledge into new AI sessions

3. AI Processing & Third Parties

Recall uses third-party AI providers to generate session summaries. By using the Service, you expressly consent to the following:

Your consent to data processing

By using Recall, you consent to having your session transcript content sent to third-party AI providers for summarization. This is not optional—it is how the Service functions.

During summarization, your session transcript exists in plaintext on our servers and is transmitted to one of our AI providers (Google Gemini, OpenAI GPT-4o, or Anthropic Claude). This processing typically takes under 3 seconds, after which the original transcript is immediately deleted. We store only the AI-generated summary.

Third-party AI providers

Your session content may be processed by:

  • Google — Gemini 2.0 Flash (primary)
  • OpenAI — GPT-4o (fallback)
  • Anthropic — Claude Haiku (fallback)

We use API endpoints that are not used for model training per each provider's API terms. However, each provider has their own privacy policies and data handling practices. You are responsible for ensuring that your use of Recall complies with your organization's policies regarding third-party AI services.

If you cannot consent to this processing

If your security requirements, compliance obligations, or organizational policies prohibit sending code context to third-party AI providers, you should not use Recall. There is no way to use the Service without this processing.

4. Accounts & Registration

To use the Service, you must create an account using GitHub OAuth. By doing so, you represent and warrant that:

Account accuracy

The GitHub account you use is your own or you have authorization to use it.

Account security

You are responsible for maintaining the security of your GitHub account and API tokens. We are not liable for any loss or damage from unauthorized access to your account.

Account responsibility

You are responsible for all activities that occur under your account, whether or not you authorized them.

Notification of breach

You must notify us immediately of any unauthorized access to or use of your account.

5. Billing & Subscriptions

The Service is offered on a subscription basis with the following terms:

Free access

The Service is currently offered free of charge. We reserve the right to introduce paid features in the future, with at least 30 days notice.

Future pricing

If we introduce paid plans, price changes will be communicated at least 30 days before they take effect.

Taxes

You are responsible for any applicable taxes. Prices displayed may not include taxes depending on your location.

6. Acceptable Use

You agree not to use the Service to:

  • • Violate any applicable laws or regulations
  • • Infringe on the intellectual property rights of others
  • • Upload or store malicious code, malware, or content designed to harm others
  • • Attempt to gain unauthorized access to the Service or its systems
  • • Interfere with or disrupt the Service or servers
  • • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • • Resell, redistribute, or sublicense the Service without permission
  • • Use the Service to store or transmit content that violates the rights of third parties
  • • Circumvent any access restrictions or usage limits
  • • Use automated systems or bots to access the Service in a manner that exceeds reasonable usage

7. Your Content

You retain ownership of all content you submit to the Service ("Your Content"). By using the Service, you grant us certain limited rights:

Processing license

You grant us a limited license to process Your Content for the purpose of providing the Service, including transmitting session transcripts to AI providers for summarization and storing the resulting summaries.

Team access

Session summaries and extracted knowledge are accessible to all members of your team. This is the core functionality of the Service.

No sale or use for training

We do not sell Your Content. We do not use Your Content to train AI models. Your Content is processed solely to provide the Service to you.

Your responsibility

You are solely responsible for ensuring that Your Content does not violate any laws, infringe on third-party rights, or contain sensitive information that should not be shared with third-party AI providers.

Important: Session transcripts are sent to third parties

When you save a session, the full transcript is sent in plaintext to a third-party AI provider. Do not include sensitive information in your sessions that should not be processed by third-party AI services. This includes but is not limited to: passwords, API keys, personal health information, financial data subject to regulations, or classified information.

8. Intellectual Property

Our property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Recall and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution.

Trademarks

Recall, the Recall logo, and any other trademarks or service marks are the property of Recall. You may not use these marks without our prior written permission.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if:

  • • You breach these Terms
  • • You fail to pay subscription fees when due
  • • You engage in fraudulent, illegal, or abusive activity
  • • We are required to do so by law
  • • We cease to offer the Service (with reasonable notice)

Effect of termination

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. We will delete your data within 30 days of termination unless required by law to retain it.

Survival

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers & Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Limitation of Liability

IN NO EVENT SHALL RECALL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (i) your access to or use of or inability to access or use the Service;
  • (ii) any conduct or content of any third party on the Service;
  • (iii) any content obtained from the Service;
  • (iv) unauthorized access, use, or alteration of your transmissions or content;
  • (v) AI-generated summaries that are inaccurate, incomplete, or miss important context;
  • (vi) actions taken by third-party AI providers in processing your data.

Cap on liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

AI accuracy disclaimer

AI-generated summaries may contain errors, omissions, or inaccuracies. The summaries are intended as a convenience and should not be relied upon as complete or accurate records of your coding sessions. You should always verify important information independently.

11. Changes to Terms

Our right to modify

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes material

Material changes include, but are not limited to: changes to pricing, data processing practices, liability limitations, or arbitration provisions.

Continued use

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Indemnification

You agree to defend, indemnify, and hold harmless Recall and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • • Your violation of these Terms
  • • Your use of the Service, including but not limited to any content you submit or transmit through the Service
  • • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • • Your violation of any applicable laws, rules, or regulations
  • • Any claim that Your Content caused damage to a third party
  • • Any misrepresentation made by you

This indemnification obligation will survive the termination of these Terms and your use of the Service. We reserve the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14. Age Requirements

Minimum age

You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is greater), to create an account and use the Service.

Team usage

If you are under 18 but at least 13 years old, you may use the Service only as a member of a team where the team owner is 18 or older and has agreed to these Terms on behalf of the team. The team owner is responsible for your use of the Service.

COPPA compliance

The Service is not intended for children under 13. We do not knowingly collect personal information from children under 13. If we learn we have collected such information, we will delete it promptly.

15. General Provisions

Entire agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Recall concerning the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and Recall regarding the Service.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Recall.

Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.

Force majeure

Recall shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

No third-party beneficiaries

These Terms do not confer any third-party beneficiary rights. The third-party AI providers we use (Google, OpenAI, Anthropic) are not parties to these Terms and have no obligations to you under these Terms.

The section headings in these Terms are for convenience only and have no legal or contractual effect.
